Terms of Service

1. Acceptance of Terms
By accessing or using the MyHOA platform, website, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”) and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and MyHOA. If you do not agree with any part of these Terms, you must not access or use the Service.
Your continued use of the Service following any updates to these Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of your rights and obligations. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
MyHOA is a cloud-based homeowners association management platform designed specifically for Philippine homeowners associations (HOAs). The Service provides tools to help HOA administrators and board members manage day-to-day operations efficiently and transparently.
The platform includes, but is not limited to, the following features:
- Property and homeowner records management
- Billing and dues collection tracking
- Financial reporting and audit trails
- Community announcements and notifications
- Document storage and management
- Resident concern and request tracking
- Member and role management for HOA organizations
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.
3. User Accounts
To access most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times. Providing false or misleading information is grounds for immediate account termination.
You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately at [email protected] if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage arising from unauthorized use of your account before you notify us.
Each account is for a single individual. Account sharing is not permitted. HOA organization administrators may invite additional members to their organization; each invited member must create their own account. You may not transfer or assign your account to any other person or entity without prior written consent from MyHOA.
4. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited when using MyHOA:
- Violating any applicable local, national, or international law or regulation, including Philippine data privacy laws under the Data Privacy Act of 2012
- Impersonating any person or entity, or falsely representing your affiliation with a person or entity
- Uploading, transmitting, or distributing malicious code, viruses, spyware, or any other harmful software
- Attempting to gain unauthorized access to any part of the Service, its servers, or any systems connected to the Service
- Using the Service to send unsolicited communications (spam), harass, threaten, or intimidate other users
- Scraping, data-mining, crawling, or using automated means to extract data from the platform without express written permission
- Interfering with or disrupting the integrity or performance of the Service or its underlying infrastructure
- Using the Service to store or transmit content that is defamatory, obscene, or otherwise objectionable
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this policy, including removing offending content, suspending or terminating accounts, and reporting violators to law enforcement authorities.
5. HOA Organization Data
All data entered into the Service by your HOA organization — including property records, homeowner information, financial data, and documents — remains the property of your organization. MyHOA acts as a data processor on your behalf; we do not claim ownership over your organization’s content or data.
Organization administrators may export their data at any time through the platform’s built-in export tools. We process and store your data in accordance with our Privacy Policy, which governs our data handling practices and your rights under the Philippine Data Privacy Act of 2012.
Upon account termination, we will provide a 30-day data export period during which organization administrators can download their data in a portable format. After this period, all organization data will be permanently deleted from our systems, except where retention is required by applicable law.
6. Payment Terms
MyHOA currently offers a free early access tier, which provides full access to the platform’s core features at no cost. We may introduce paid subscription tiers in the future to support ongoing development and infrastructure costs.
When paid plans are made available, the following terms will apply:
- Billing cycles (monthly or annual) and accepted payment methods will be clearly stated at the time of subscription
- Refund policies will be published prior to the launch of any paid tier
- Price changes will be communicated at least 30 days in advance via email or in-platform notice
- Failure to pay may result in downgrade to a free tier or temporary suspension of the account
All fees are quoted in Philippine Pesos (PHP) unless otherwise stated. You are responsible for any applicable taxes, levies, or duties imposed by governing authorities on transactions made through the Service.
7. Intellectual Property
The MyHOA platform, including its design, source code, user interface, logos, trademarks, and all associated documentation, is owned by MyHOA and is protected by copyright, trademark, and other intellectual property laws of the Philippines and applicable international law. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.
You retain full ownership of all content and data your organization submits to the Service (“User Content”). By using the Service, you grant MyHOA a limited, non-exclusive, royalty-free, worldwide license to host, store, process, and display your User Content solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete your content or terminate your account.
You represent and warrant that you have all necessary rights to grant the above license and that your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.
8. Limitation of Liability
To the maximum extent permitted by applicable Philippine law, MyHOA and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of goodwill, service interruption, computer damage, or system failure, arising out of or related to your use of the Service.
In no event shall MyHOA’s total aggregate liability to you for all claims arising out of or relating to the use of the Service exceed the total amount paid by you to MyHOA during the twelve (12) months immediately preceding the event giving rise to the claim. If you have not made any payments during that period, MyHOA’s total liability shall not exceed PHP 1,000.
This limitation of liability applies to all claims, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not MyHOA has been informed of the possibility of such damage.
9. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. MyHOA does not warrant that the Service will meet your specific requirements or expectations.
We do not warrant that the Service will operate uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any data generated, computed, or reported by the platform, including financial summaries, dues calculations, or analytics. You are responsible for independently verifying any critical data before acting on it.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, our warranties are limited to the minimum scope permitted by applicable law.
10. Termination
Either party may terminate the Service relationship at any time. You may close your account at any time through your account settings or by contacting us at [email protected]. We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or if we determine that your use poses a risk to other users or the platform.
Upon termination of your account:
- Your access to the Service will be immediately revoked
- Organization administrators will have a 30-day data export window to download all organization data
- After the 30-day window, all data associated with the account will be permanently and irreversibly deleted
- Any outstanding payment obligations remain due after termination
We reserve the right to terminate free-tier accounts that have been inactive for a continuous period of twelve (12) months, following advance notice via email to the registered address.
11. Governing Law
These Terms of Service and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.
You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the appropriate courts located in Metro Manila, Philippines. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.
12. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to first attempt resolution through good-faith negotiation. Either party may initiate this process by providing written notice to the other party describing the nature of the dispute and the relief sought.
If the dispute is not resolved through negotiation within thirty (30) days of the written notice (or such longer period as mutually agreed), the parties may pursue mediation through a mutually agreed-upon mediator. The costs of mediation shall be shared equally between the parties unless otherwise agreed.
If mediation fails to resolve the dispute, either party may then pursue the matter through the appropriate courts as specified in the Governing Law section above. Nothing in this section shall prevent either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction.
13. Changes to Terms
We reserve the right to modify or update these Terms at any time at our sole discretion. All changes are effective immediately upon posting unless stated otherwise. We will notify you of material changes — those that significantly affect your rights or obligations — via email to your registered address and/or through a prominent notice within the platform, at least thirty (30) days before the changes take effect.
Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree with any changes, you must stop using the Service and close your account prior to the effective date of the changes. We recommend that you save or print a copy of these Terms for your records each time they are updated.
